Terms of Service

1. Introduction and Definitions

Welcome to MyNightOut ("we," "us," "our," or the "Company"), a marketplace for buying and selling tickets, passes, and other access rights to events. The Company is MyNightOut Limited, a private limited company registered in the United Kingdom with company number 16185041. These Terms of Service ("Terms") govern your access to and use of MyNightOut's website, services, and applications (collectively, the "Platform").

For the purposes of these Terms:

  • "Platform" refers to MyNightOut’s services, website, and applications.
  • "User," "you," or "your" refers to any individual or entity accessing or using the Platform.
  • "Seller" refers to any User offering Tickets or Passes for sale on the Platform.
  • "Buyer" refers to any User purchasing Tickets or Passes on the Platform.
  • "Event Organiser" refers to the person or entity responsible for the relevant event (which may, but need not, be the Seller).
  • "Ticket" refers to any form of event access, including but not limited to traditional tickets, QR codes, account credentials, digital images/screenshots, or PDFs.
  • "Pass" refers to a digital good similar to a Ticket that may grant access to multiple events, multiple access types, or multiple time slots for a single event. Passes may consist of an image, PDF, QR code, or login credentials to a third-party website.
  • "Rep" refers to the individual or entity to whom a Rep Code has been issued or assigned.
  • "Rep Code" refers to a unique promotional code issued by us which, when valid and applied at checkout, may (a) provide Buyers with a discount on the Ticket or Pass price and/or (b) entitle the Rep to a revenue share or other benefit, in each case as determined by us in our sole discretion.
  • "Rep Code Discount" refers to any discount applied to the Ticket or Pass price as a result of a Rep Code. Unless we expressly state otherwise in writing, Rep Code Discounts are funded by the Seller and reduce the amount payable to the Seller for the relevant sale.
  • "Fees" refers to booking fees, service fees, commissions, and any other charges levied by MyNightOut in relation to use of the Platform or completion of a transaction.
  • "Net Seller Proceeds" refers to the amount actually payable by us (or our payment partner) to a Seller in respect of a completed sale, after deduction of Fees, Rep Code Discounts, chargebacks, refunds, reversals, and any other permitted deductions under these Terms.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Eligibility

The Platform is available only to individuals who are at least 18 years old (or the age of majority in their jurisdiction, if greater). By using the Platform, you represent and warrant that you meet this age requirement and that you have the legal capacity and authority to enter into binding contracts.

3. The Platform and Our Role

3.1. MyNightOut provides a Platform for Users to buy and sell Tickets and Passes. We do not ordinarily own, sell, or resell these goods directly and, unless expressly stated otherwise for a particular listing, we are not a party to any contract of sale between Users.

3.2. Unless we clearly indicate that we are acting as the Seller for a particular listing, the contract for the purchase of a Ticket or Pass is formed directly between the Buyer and the relevant Seller. We act as a facilitator and, where applicable, as a limited payment collection agent for Sellers (see section 12).

3.3. MyNightOut is not responsible for, and does not warrant or guarantee:
a) the existence, quality, safety, legality, or accuracy of any event, Ticket, or Pass;
b) that any Ticket or Pass will secure entry to any event; or
c) the conduct, acts, or omissions of any User, Event Organiser, venue, or third party.

3.4. MyNightOut may, at its sole discretion, refuse service, suspend or terminate accounts, remove or edit listings, cancel transactions, withhold payouts, or take any other action we deem necessary to protect Users, comply with law, or protect the integrity of the Platform.

3.5. MyNightOut charges Fees on sales, which are disclosed at or before checkout. Fees may be changed at our discretion and may differ by event, User, or transaction type.

3.6. Promotional discounts, including but not limited to Rep Code Discounts and other coupon codes, may be offered, modified, or withdrawn by MyNightOut at any time, entirely at our discretion. No User has any vested or accrued right to any particular discount level or promotion.

4. Account Registration and Security

4.1. Some Platform features may require you to register an account.

4.2. You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account, whether or not authorised by you.

4.3. You must provide accurate, current, and complete information during registration and keep it up to date.

4.4. We may suspend or terminate your account, or restrict access to it, if we reasonably suspect that it has been compromised, misused, or used in breach of these Terms or any applicable law.

5. Seller Responsibilities

5.1. Sellers are independent from MyNightOut and have no authority to act on our behalf or to bind us in any way.

5.2. Sellers must:
a) Provide accurate, lawful, and complete information about Tickets and Passes, including any material restrictions, age limits, or additional requirements for entry.
b) Ensure that Tickets and Passes are valid, functional, and capable of being used for entry as described.
c) Be solely responsible for compliance with all applicable laws, regulations, and tax obligations.
d) Respond promptly and appropriately to Buyer enquiries, complaints, and reasonable information requests.
e) Guarantee that any data provided (including third-party login credentials or documents) is accurate, valid, and does not infringe any third-party rights.
f) Ensure that listing prices, descriptions, and availability are kept up to date.

5.3. Sellers acknowledge that counterfeit, invalid, misdescribed, or fraudulent Tickets/Passes—determined in our reasonable opinion—may result in suspension, termination, withholding of payouts, or refund obligations.

5.4. By listing Tickets or Passes on the Platform, Sellers:
a) appoint MyNightOut and our payment partners as their limited payment collection agents solely for the purpose of accepting and processing payments from Buyers;
b) authorise us to collect from Buyers the full amount payable at checkout (including Ticket/Pass prices after any applicable discount, Fees, and taxes); and
c) authorise us to deduct from the gross sale price any Fees, Rep Code Discounts, refunds, chargebacks, reversals, and other amounts owed under these Terms, remitting only the Net Seller Proceeds.

5.5. Sellers acknowledge and agree that, unless we expressly state otherwise in writing:
a) any Rep Code Discount applied to a transaction is funded by the Seller and not by MyNightOut or the Rep;
b) the Seller’s payout for that transaction will be reduced accordingly; and
c) the level and availability of Rep Code Discounts can be changed or withdrawn by us at any time (including on a per-event, per-Seller, or per-order basis).

5.6. Sellers are responsible for ensuring that their pricing and margins take into account potential Rep Code Discounts, Fees, and taxes. We are not responsible for any loss of expected revenue or profit arising from the application, withdrawal, or variation of any Rep Code or other discount.

6. Buyer Responsibilities

6.1. Buyers are responsible for carefully reviewing listings (including the event description, time, venue, restrictions, and any additional terms) before purchasing.

6.2. Buyers acknowledge that Tickets and Passes may take various forms (digital, physical, or credentials), may be delivered after purchase, and may expire after use or on a specified date.

6.3. Buyers are responsible for complying with event organisers’ and venues’ rules, including age restrictions, dress codes, security checks, and codes of conduct, and for any applicable charges imposed by them (for example, booking fees levied at the venue).

6.4. Buyers are responsible for ensuring that any device, application, or connection needed to access digital Tickets or Passes (for example, a smartphone and internet connectivity) is available and functioning.

7. Rep Codes

7.1. Rep Codes are issued, managed, and controlled by MyNightOut. We may create, modify, suspend, or withdraw any Rep Code at any time, with immediate effect and without notice, including on a per-Rep, per-event, or per-Seller basis.

7.2. When valid and applied at checkout, Rep Codes may:
a) provide Buyers with a Rep Code Discount on the underlying Ticket or Pass price; and/or
b) entitle the Rep to a revenue share, commission, or other benefit, in each case as determined by us in our sole discretion.

7.3. The existence of a Rep Code, or the fact that a Rep Code has provided a particular discount or benefit in the past, does not guarantee that:
a) the Rep Code will be valid for any future transactions;
b) any particular level or type of discount will be available; or
c) any particular commission, reward, or benefit will be payable to the Rep.

7.4. Unless we expressly state otherwise in writing, any Rep Code Discount is funded by the Seller. This means that:
a) the Buyer’s payable price is reduced by the amount of the Rep Code Discount;
b) the Seller’s gross payout is reduced by the same amount; and
c) our Fees are calculated on the basis we specify from time to time and are not necessarily reduced proportionally to the Rep Code Discount.

7.5. Sellers expressly authorise us to apply Rep Code Discounts to their listings where a Buyer uses a valid Rep Code, and to deduct the value of those discounts from the amounts otherwise payable to the Seller.

7.6. Rewards, commissions, or other benefits associated with Rep Codes are paid solely at MyNightOut’s discretion and may be withheld, cancelled, reduced, or adjusted at any time (including after a transaction) where we reasonably suspect fraud, abuse, breach of these Terms, chargebacks, refunds, or error.

7.7. Having a Rep Code or receiving any commission or reward does not make you an employee, worker, partner, agent, or authorised representative of MyNightOut or of any Seller. You must not hold yourself out as such.

8. Prohibited Activities

You agree not to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Impersonate others or misrepresent your identity or affiliation.
  • Claim or imply that MyNightOut is affiliated with, endorsed by, or officially associated with any third party, including but not limited to event organisers, venues, or ticketing websites, unless we have expressly authorised you in writing.
  • Interfere with, disrupt, or attempt to gain unauthorised access to the Platform, its systems, or other Users’ accounts.
  • Post, upload, or transmit unlawful, offensive, misleading, defamatory, or harmful content.
  • Use automated means (including bots or scrapers) to access or interact with the Platform except as expressly permitted by us.
  • Manipulate pricing, ratings, or promotions, including by abusing Rep Codes, running self-referral schemes, or engaging in fraudulent or misleading activity.

9. Intellectual Property

The Platform, its content, and branding (including logos, trade names, trademarks, and design elements) belong to MyNightOut or its licensors. You may not copy, modify, distribute, use, or exploit our intellectual property without our prior written consent, except as strictly necessary to use the Platform in accordance with these Terms.

10. User Content

By posting, uploading, or otherwise making content available on or through the Platform ("User Content"), you grant MyNightOut a perpetual, worldwide, irrevocable, royalty-free, non-exclusive, transferable, and sublicensable licence to use, reproduce, modify, adapt, translate, distribute, publicly perform, publicly display, and otherwise exploit that User Content in connection with the operation, promotion, and improvement of the Platform.

You represent and warrant that you:

  • own or otherwise control all rights in and to your User Content; and
  • have the right to grant the licence above without infringing any third-party rights.

We may remove or disable access to any User Content which we reasonably believe breaches these Terms or applicable law.

11. Privacy

We process personal data as set out in our Privacy Policy, which forms part of these Terms. Sellers receive Buyer details only as necessary to fulfil orders and must handle such data in accordance with applicable data protection laws and our Privacy Policy.

12. Payments and Fees

12.1. Payments on the Platform are handled by third-party payment processors (including, without limitation, Stripe and Stripe Connect). By using the Platform, you agree to comply with the terms and conditions of such processors, which may be updated from time to time.

12.2. For each transaction, we may collect from the Buyer:
a) the price of the Ticket or Pass (after any applicable Rep Code Discount or other discount);
b) any applicable Fees; and
c) any applicable taxes, levies, or charges that we are required or authorised to collect.

12.3. By listing Tickets or Passes, Sellers:
a) authorise us and our payment partners to receive and hold funds on their behalf; and
b) agree that receipt of payment by us (or our payment partners) from the Buyer is deemed receipt of payment by the Seller.

12.4. Following a completed transaction, we will pay the Seller the Net Seller Proceeds in accordance with our then-current payout schedule and policies. Sellers are not entitled to any interest or other earnings on amounts held by us or our payment partners pending payout.

12.5. Fees, commissions, and booking charges are generally non-refundable, unless required by law or unless we decide otherwise in our sole discretion.

12.6. We may set off, withhold, or deduct from any amounts payable to you any sums that you owe to us (including Fees, chargebacks, refunds, or other liabilities).

12.7. Currency conversion rates, bank charges, and other third-party charges may apply to your use of the Platform and are your responsibility, unless we expressly agree otherwise.

13. Cancellations, Refunds, and Disputes

13.1. Refund policies may vary per Seller and per event. It is your responsibility to review any stated refund or cancellation policy before purchasing or listing Tickets or Passes.

13.2. MyNightOut may, but is not obliged to, assist with customer service issues between Buyers and Sellers. We may issue refunds, credits, or cancel transactions at our sole discretion in order to protect Users, comply with law, or protect the integrity of the Platform.

13.3. Our decisions on disputes handled by us are final within the context of the Platform. This does not affect your statutory rights or your ability to pursue claims against other parties in court.

13.4. Where a refund is issued to a Buyer, we may:
a) recover the refunded amount (including any associated Fees) from the Seller; and
b) deduct such amounts from future payouts or require reimbursement from the Seller.

14. Disclaimer of Warranties

14.1. The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, representations, and conditions, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement.

14.2. We do not guarantee that the Platform, any listing, or any event will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not guarantee that Tickets or Passes will always be honoured by event organisers or venues.

14.3. We do not control, and are not responsible for, any events, venues, or third-party services, or for any acts or omissions of Sellers, Buyers, Reps, or other Users.

15. Limitation of Liability

15.1. Nothing in these Terms shall limit or exclude any liability which cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

15.2. Subject to section 15.1, and to the maximum extent permitted by law, MyNightOut and its directors, officers, employees, and agents shall not be liable for:
a) any indirect, consequential, special, or punitive loss or damage;
b) loss of profit, revenue, business, goodwill, or anticipated savings;
c) loss, theft, or unauthorised use of Tickets, Passes, or credentials after delivery; or
d) any loss or damage arising from events, venues, or third-party services or from the acts or omissions of other Users.

15.3. Subject to sections 15.1 and 15.2, our total aggregate liability to you (whether in contract, tort, negligence, breach of statutory duty, or otherwise) arising out of or in connection with the Platform or these Terms shall not exceed the total Fees you have paid directly to MyNightOut in the six (6) months immediately preceding the event giving rise to the claim.

15.4. You acknowledge that the limitations and exclusions of liability in this section are reasonable in light of the nature of the Platform and the fact that we are not a primary seller or event organiser.

16. Indemnification

You agree to indemnify, defend, and hold harmless MyNightOut, its directors, officers, employees, and agents from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal costs) arising out of or in connection with:

  • your use of the Platform;
  • your sale or purchase of Tickets or Passes;
  • your use or misuse of Rep Codes;
  • your breach of these Terms or of any applicable law; or
  • any claim relating to taxes, duties, or levies owed by you.

17. Governing Law and Jurisdiction

These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of England and Wales.

Subject to section 18, legal proceedings in relation to these Terms may only be brought in the courts of England and Wales, which shall have exclusive jurisdiction. This is without prejudice to any mandatory rights you may have as a consumer under the laws of your country of residence.

18. Dispute Resolution

18.1. We encourage you to contact our support team first to attempt to resolve any issues informally.

18.2. If a dispute cannot be resolved informally, you and we may agree in writing to refer the dispute to arbitration in London under the LCIA Rules, which are deemed to be incorporated by reference. The arbitral tribunal shall consist of a single arbitrator, the language of the arbitration shall be English, and the seat of the arbitration shall be London, England.

18.3. Nothing in this section 18 prevents you or us from:
a) seeking interim or injunctive relief in the courts of England and Wales; or
b) bringing a claim in a small claims court of competent jurisdiction.

19. Modifications

We may update or modify these Terms from time to time, for example to reflect changes in law, our business, or the Platform. When we do so, we will update the “Last updated” date below and may provide additional notice where appropriate.

Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the Platform.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other competent authority, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms or notices displayed on the Platform in relation to specific services, events, or promotions, constitute the entire agreement between you and MyNightOut in relation to your use of the Platform and supersede any prior agreements or understandings, whether written or oral.
